Code of Conduct

- To ensure open and appropriate communication
- To perform collaborative services with experienced professionals able to provide quality work;
- To ensure that translation work is performed only by qualified translators translating only into their mother tongue;
- To have and/or make available the necessary technical and logistical infrastructure to fulfill each task as outlined in projects;
- To adhere to the quality standards and processes defined by organizations such as the Globalization and Localization Association of which Web-lingo is a member;
- To meet all deadlines as defined in project schedules and agreed between the client and the Web-lingo project manager;
- To respect the terms and conditions agreed between the client and the Web-lingo project manager; To guarantee that all project-related materials remain strictly confidential;
- To give the client all the assistance and services as defined by client agreements.
To respect and implement all decisions made that may affect this Code of Conduct.

- Description of services
Web-lingo, as an independent contractor, will provide the agreed service(s) as requested by The Client. Web-lingo shall make every effort to complete the agreed service(s) by the agreed date but shall not be responsible for delays in completion caused by events beyond Web-lingo's control.
- Fee for services
The Client agrees to pay the agreed Translator's fee for the specified service(s) as per the quotation and/or Purchase Order.
Any payments for fees or costs not received by Web-lingo within agreed payment terms of 20 days of the due date will be deemed late and shall be subject to a late payment charge (interest) at 2% per month, from due date.
- Cancellation or withdrawal by The Client prior to completion
If The Client cancels or withdraws any portion of the item(s) described in the quotation/order in consideration of Web-lingo's scheduling and/or performing said service(s) The Client shall pay Web-lingo the portion of the above fee represented by the percentage of total service(s) performed, but in any event not less than 20% of said fee.
- Additional fees
Notwithstanding the provisions in paragraphs 2 and 3, additional fees will be payable to Web-lingo once agreement has been reached between the parties, in the event that the following additional services are required:
(a) investigation, enquiry or research beyond that normal to a routine translation is required because of ambiguities in the item(s) to be translated;
(b) additional services are required because The Client makes changes in the item(s) to be translated after the agreed services have been specified;
(c) Web-lingo is requested to make changes in the translation after delivery of the translation, because of The Client's preferences as to style or vocabulary, and such changes are not required for accuracy.
- Client's review of translation
Upon receipt of the translation from Web-lingo, The Client shall promptly review it, and within 7 days after receipt shall notify Web-lingo of any requested corrections or changes. Web-lingo shall correct, at no cost to The Client, any errors made by Web-lingo.
- Confidentiality
All knowledge and information expressly identified by The Client in writing as being confidential which Web-lingo acquires during the term of this Agreement regarding the business and products of The Client shall be maintained in confidentiality by Web-lingo and, except as expressly authorized by The Client in writing, shall not be divulged or published by Web-lingo and shall not be authorised by Web-lingo to be divulged or published by others. Confidential information for purposes of this paragraph shall not include the following:
(a) Information which is or becomes available to the general public; provided the disclosure of such information did not result from a breach by Web-lingo of this paragraph.
(b) Terminological glossary entries compiled by Web-lingo in the course of Web-lingo's performance of the translation service(s) under this Agreement; provided, however, that The Client and Web-lingo may agree in writing that, upon payment by The Client to Web-lingo of an agreed-upon fee, such terminological glossary entries shall be the property of The Client and shall be covered by the confidentiality provisions of this paragraph.
- Property and copyright
Upon The Client's completion of all payments provided herein, the translation of the item(s) agreed upon shall be the property of The Client. Web-lingo has no obligation to take any steps to protect any copyright, trademark or other right of The Client with respect to the translation, except as may be expressly otherwise provided as a supplement to this Agreement. Notwithstanding the foregoing, Web-lingo shall have the right to retain file copies of the item(s) to be translated and of the translation, subject to the provisions of paragraph 6 above.
- Indemnification and hold-harmless by The Client
The Client agrees to indemnify and hold Web-lingo harmless from any and all losses, claims, damages, expenses or liabilities (including reasonable attorneys' fees) which Web-lingo may incur based on information, representations, reports, data or product specifications furnished, prepared or approved by The Client for use by Web-lingo in the work performed under this Agreement or any specific Purchase Order.
Web-lingo accepts limited liability in the event that The Client incurs any losses, claims, damages, expenses or liabilities (including reasonable attorneys' fees) as a result of its erroneous translation of source text. Such liability will only be accepted provided that The Client agrees to the payment of all fees relating to the translation and proof-reading of such source text. The total liability which Web-lingo accepts in any one calendar year in relation to this Agreement amounts to the total value of the order.
Web-lingo reserves the right to request an alternate source text document from The Client in the event that there is reason to believe that the original source text document contains errors. Web-lingo will not be held responsible for any errors losses, claims, damages, expenses or liabilities (including attorneys' fees) which The Client may incur due to erroneous source text documents being translated by Web-lingo.
- Changes by others
Web-lingo shall have no responsibility whatsoever for any changes in the translation made by persons other than Web-lingo.
- Non Assignment
Web-lingo may not assign this Agreement or any interest herein without The Client’s express prior written consent, except for its normal sub-contracting activities relating to free-lance professionals it contracts with in order to perform its services.
- Governing law
This Agreement shall be interpreted in accordance with the laws of South Africa.
- Complete Agreement
This Agreement contains the full and complete understanding of the parties with respect to the subject matter hereof, and terminates and supersedes all prior understandings or agreements on the subject matter, whether oral or written. This Agreement may be modified only by a further writing executed by both parties.

All notices required to be given shall be considered as given upon certified or registered mailing, post-paid, and addressed as follows
